These Terms & Conditions ("Terms") govern your access to and use of the Nexacore Systems website (the "Site") and any consulting, cloud architecture, integration, or security services (collectively, the "Services") provided by Nexacore LLC ("Nexacore," "we," "us," or "our"). By accessing the Site or engaging our Services, you agree to be bound by these Terms.
By using this Site or submitting a request through our contact or consultation forms, you confirm that you have read, understood, and agree to these Terms, along with our Privacy Policy. If you do not agree, please do not use the Site or request our Services.
Nexacore provides enterprise IT consulting across three service areas: Azure Cloud Services (migration, architecture design, managed operations, and cost optimization), Service Integration (API design, middleware, workflow automation, and legacy connectivity), and Edge Protection Services (zero-trust architecture, threat detection, network edge defense, compliance, and device deployment). Specific deliverables, timelines, and pricing for any engagement are defined separately in a signed statement of work ("SOW") or services agreement, which takes precedence over these Terms in the event of conflict.
You agree to use this Site only for lawful purposes. You may not:
Submitting a contact or consultation request does not, by itself, create a services contract. A binding engagement begins only once both parties execute a separate SOW or master services agreement, which will govern scope, fees, timelines, and acceptance criteria for that engagement. Nexacore reserves the right to decline any engagement request at its discretion.
All content on this Site — including text, graphics, logos, diagrams, and the Nexacore name and marks — is the property of Nexacore LLC or its licensors and is protected by applicable intellectual property laws. Unless otherwise agreed in a signed SOW, work product created for a client during an engagement is owned as specified in that engagement's contract; absent such terms, Nexacore retains ownership of its pre-existing tools, frameworks, and methodologies used to deliver the Services, while deliverables specifically created for the client are licensed or assigned as set out in the SOW.
In the course of an engagement, both parties may exchange confidential or proprietary information. Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, and not to disclose it to third parties except as required by law or as authorized in writing. Detailed confidentiality obligations are typically set out in a mutual non-disclosure agreement (NDA) executed prior to or alongside the SOW.
This Site and its content are provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Nexacore does not warrant that the Site will be uninterrupted, error-free, or secure. Any warranties applicable to delivered Services (such as service-level commitments) are set out exclusively in the applicable SOW.
To the maximum extent permitted by law, Nexacore LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, whether based on warranty, contract, tort, or any other legal theory, even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be excluded under applicable law, and any liability arising from a signed SOW is governed by the terms of that agreement.
This Site may reference or link to third-party platforms, including Microsoft Azure and other technology partners. Nexacore does not control and is not responsible for the content, policies, or practices of third-party sites or services. Your use of any third-party platform is governed by that provider's own terms.
We may suspend or restrict your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is otherwise harmful to Nexacore, other users, or third parties. Termination of an active engagement is governed by the termination provisions of the applicable SOW.
These Terms are governed by the laws of the jurisdiction in which Nexacore LLC is registered, without regard to conflict-of-law principles, unless a signed SOW specifies a different governing law for a particular engagement.
We may update these Terms from time to time to reflect changes in our practices, Services, or legal requirements. The "Last updated" date at the top of this page indicates when these Terms were last revised. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
